THEMECOMPLETE LTD Terms of Service
By accessing or using THEMECOMPLETE LTD (“ThemeComplete”, “we”, “us”, “our”) websites, subdomains, plugins, themes, and related services (“Services”), you agree to be bound by these Terms of Service (“Agreement”) and our Privacy Policy.
If you do not agree, you must not use the Services.

1.2 Business Model and Distribution Channels
(a) Envato Marketplace
Some Products are sold via Envato marketplaces (CodeCanyon / ThemeForest). In these cases:
- Envato acts as the merchant of record for the transaction.
- Pricing, checkout, licensing, and refunds are managed by Envato.
- License validation is based on Envato purchase codes.
(b) Freemius (Merchant of Record)
Some Products are sold via Freemius, which acts as Merchant of Record (MoR).
- Freemius processes payments, taxes (VAT/sales tax), and invoicing.
- Freemius manages subscription billing and license delivery infrastructure.
- Freemius may collect and process personal data necessary for transaction processing and compliance.
- THEMECOMPLETE LTD remains the product developer and rights holder.
(c) Support Access
Support is provided via our support platform and requires license verification (Envato or Freemius).
Support quality and scope are identical regardless of purchase channel.
1.3 Acceptance of Terms
By using the Services, you agree to comply with this Agreement and all applicable laws.
If you use the Services on behalf of an organization, you confirm you have authority to bind it.
1.4 Modifications
We may modify these Terms at any time. Material changes will be communicated via website notice or email where applicable.
Continued use of the Services constitutes acceptance of the updated Terms.
2. Obligations and Account Use
2.1 Eligibility
- You must be at least 18 years old or of legal age in your jurisdiction.
- You must provide accurate information when required.
- You must not be previously restricted from using the Services.
2.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account and all activity under it.

- Envato purchases are governed by Envato license terms.
- Freemius purchases are governed by Freemius licensing framework and product terms.
3.2 License Scope
Licenses are non-exclusive, non-transferable, and limited to the scope defined at purchase.
3.3 License Validation
We may validate licenses via Envato APIs, Freemius APIs, or internal systems.
Valid license status is required for updates and support.
4. Support Services
4.1 Support Eligibility
Support is available only to verified Envato buyers or active Freemius license holders.
4.2 Support Scope
- Bug fixes and product issues
- Clarification of functionality
- Compatibility guidance
Support does not include custom development or third-party integrations.
4.3 Equal Support Principle
Support quality and scope are identical regardless of purchase channel (Envato or Freemius).
Differences apply only to licensing and authentication methods.
4.4 Support Platform Requirement
Support must be requested via our official support system and may require account verification.
5. Third-Party Services
5.1 Freemius (Merchant of Record)
Freemius acts as Merchant of Record (MoR) and processes payments, taxes, and licensing data.
Freemius may independently process personal data required for transaction compliance.
5.2 Envato Marketplace
Envato operates independently and manages checkout, licensing, and refunds for purchases made through its platform.
5.3 Support System
Our support platform stores tickets, communications, and technical metadata required for service resolution.
6. Disclaimer and Liability
6.1 Service Disclaimer
Services are provided for general use and compatibility with third-party systems without guarantees of uninterrupted operation.
6.2 No Warranty
Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
6.3 Limitation of Liability
To the maximum extent permitted by law, liability is limited to the amount paid for the Product or $100, whichever is greater.
6.4 Indemnification
You agree to indemnify THEMECOMPLETE LTD against claims arising from misuse of the Services or violation of these Terms.
7. Privacy
Use of the Services is also governed by our Privacy Policy, including data processing under GDPR and third-party providers such as Freemius and Envato where applicable.
8. Termination
We may suspend or terminate access if you violate these Terms, misuse the Services, or fail license validation checks.
9. Governing Law
This Agreement is governed by the laws of the Republic of Cyprus.
